Welcome to Unified Chat ("Service", "we", "our", "us"). By accessing or using our platform, you ("User", "you", "your") agree to comply with and be bound by these Terms of Service. Please read them carefully.

1. Service Description

Unified Chat is a SaaS (Software-as-a-Service) communication platform powered by Chatwoot, designed to help businesses manage and unify customer interactions across multiple channels, including social media messaging apps, email, and web chat.

2. Eligibility

  • You must be at least 18 years old to use this Service.
  • You must comply with all applicable laws and regulations in Bangladesh and in the countries where you operate.
  • By using Unified Chat, you represent and warrant that you have the authority to enter into this agreement.

3. Acceptable Use

You agree not to use Unified Chat for:

  • Sending spam, unsolicited messages, or harmful content.
  • Harassment, abuse, or violation of others’ rights.
  • Activities that violate applicable laws, regulations, or third-party policies (including Meta’s policies for WhatsApp, Facebook, Instagram).

We reserve the right to suspend or terminate accounts engaged in prohibited activities.

4. Meta Policy Compliance (Important)

If you connect Unified Chat with Meta platforms (WhatsApp, Facebook, Instagram, Messenger), you must comply with Meta’s Terms & Policies, including:

  • WhatsApp Business Messaging Policy
  • Facebook Developer Policies
  • Instagram Messaging Rules

Summary of Key Meta Requirements:

  • You may only message users who have opted-in to receive messages.
  • You must not share or sell user data obtained via Meta integrations.
  • Marketing or promotional messages must follow Meta’s business messaging rules.
  • Violations may result in suspension of your Meta Business Account and/or termination of Unified Chat services.

Additional Meta/WhatsApp/Instagram Rules
  • Meta 24-Hour Policy: You can only respond to customer messages within 24 hours of the last message. Beyond 24 hours, only approved templates may be used.
  • Business Accounts Only: Any WhatsApp or Instagram account connected to Unified Chat must be a business account.
  • Meta Business Portfolio: WhatsApp connections require a Meta Business Portfolio and a new phone number. Using an existing number will delete prior data. Once registered, the number cannot be used on other devices.

5. Data Privacy & Security

  • We respect your data privacy and follow applicable data protection laws.
  • You are responsible for ensuring your end-users’ consent when collecting and processing data.
  • We may store and process data in Bangladesh and/or other regions.
  • Inbox & Conversation Deletion: If deleted (intentionally or unintentionally), it will be permanently removed from Unified Chat. However, you may still access conversations from Facebook or Instagram chat history.

6. Payment & Subscription

  • Unified Chat is a paid subscription-based service.
  • Payments accepted in BDT via bKash, Nagad, Rocket, bank transfer, or international gateways.
  • Failure to pay may result in suspension or termination.
  • All invoices are subject to Bangladesh VAT & tax laws.

7. Termination

  • Breach of terms, violation of Meta’s policies, or abusive activities may result in suspension or termination.
  • Users may cancel subscriptions anytime, but prepaid fees are non-refundable unless otherwise stated.

8. Limitation of Liability

  • Unified Chat is provided on an “as is” basis.
  • We are not responsible for any indirect loss, like delays, accidents, or natural disasters.
  • We are not responsible for actions by third-party integrations (e.g., Meta, Open AI, Dialogflow).

9. Local Market Considerations (Bangladesh)

  • Platform is provided in English; support may be available in Bangla.
  • Operations follow Bangladesh Standard Time (BST, GMT+6).
  • Payments comply with Bangladesh Bank regulations.
  • Service is intended for businesses, entrepreneurs, and digital sellers in Bangladesh.
  • We will comply with future Bangladesh data localization laws if required.

10. Service Limitations & Branding

The following features are NOT included in Unified Chat:

  • Audit Logs
  • Captain AI
  • Custom Roles & SLA

Branding: Unified Chat branding may appear in your live chat widget, mobile app, or dashboard. White-labeling is not included unless specifically offered.

11. Governing Law

These Terms are governed by the laws of Bangladesh. Disputes will be handled by the competent courts of Bangladesh.

12. Changes to Terms

We may update these Terms from time to time. Continued use after updates means you accept the new Terms.
